About your Prometheo account

These Terms and Conditions (hereinafter, the “T&C”) govern the contractual relationship between ITESA INNOVATION COMPANY S.A.S., Tax ID 30-71664275-1, with legal domicile in the Argentine Republic, operating commercially under the name PROMETHEO (hereinafter, “Prometheo”), and any individual or legal entity (hereinafter, the “User”) that subscribes to the services of the Prometheo.ai platform (hereinafter, the “Services”).

By subscribing to the Services, the User acknowledges having fully read, understood and accepted these T&C, in accordance with the provisions of the Civil and Commercial Code of Argentina and Consumer Protection Law No. 24,240.

1. Subscription and Billing Terms

1.1. Subscribing to the Services entails payment of a monthly fee billed in advance.

1.2. The first payment is calculated on a pro-rata basis from the subscription date until the start of the monthly billing cycle.

1.3. The subscription may be paid through various authorized payment methods, including but not limited to Stripe and Mercado Pago.

2. Price, Taxes and Billing

2.1. Prices of subscriptions contracted through Stripe do not include taxes. In such cases, an international invoice will be issued.

2.2. Subscriptions contracted through Mercado Pago are governed by the applicable Argentine tax regulations and the corresponding receipts will be issued.

3. Service Access and Term

3.1. The User will have access to the Prometheo.ai platform from the subscription date until the last day of the paid period.

3.2. The service consists of access to the digital platform and its integrations. Payment of the fee does not depend on the User's effective use of the Service, but on the availability of access during the contracted period.

4. Subscription Cancellation

4.1. To request cancellation of the subscription, the User must complete the process at least one (1) business day before the billing date of the following cycle.

4.2. If cancellation is requested in time, no new charges will be generated.

4.3. The User will retain access to the Service until the last paid day.

4.5. If the subscription was contracted through Mercado Pago, the User may also manage their subscription independently directly from their Mercado Pago account.

5. Refund Policy

5.1. Prometheo does not issue refunds for non-use of the Service.

5.2. Refunds will only apply in the event of a proven inability to access the platform due to technical causes attributable to Prometheo.

5.3. If during the contracted period the User had access to the platform, no refund will apply.

6. Right of Withdrawal

6.1. Pursuant to art. 34 of Law No. 24,240, the User may revoke acceptance of the contract within ten (10) calendar days following the initial subscription date of the Service, provided they have not effectively used it.

6.2. After this period, the subscription contract is considered fully valid and enforceable, and the right of withdrawal may not be exercised afterwards with respect to automatic renewals.

7. Acceptance of the Terms

Contracting the Service by any means (chat, web or other authorized channel) implies full and unreserved acceptance of these T&C.

8. Acceptable Use, Objectionable Content and Abusive Conduct

8.1. Prometheo is a B2B software platform that allows companies to manage private business communications, customer conversations, CRM information and integrations with third-party communication channels, including, among others, WhatsApp, Instagram, Facebook Messenger, email and other compatible platforms.

8.2. Prometheo is not a social network, public forum, public feed or content publishing platform. The conversations and content displayed within Prometheo correspond to private business communications between the User and their customers, leads, contacts, team members or connected third-party channels.

8.3. The User agrees not to use Prometheo to create, upload, transmit, store, manage, automate, promote or facilitate content or conduct that is illegal, abusive, harassing, threatening, defamatory, discriminatory, hateful, violent, sexually explicit, fraudulent, deceptive, spam-related or otherwise objectionable.

8.4. Prometheo has zero tolerance for objectionable content and abusive conduct. Prometheo may suspend, restrict or cancel access to the Services if it reasonably determines that the User, any member of their workspace or any use of the Services violates these Terms, applicable law, third-party platform rules, or the rights or safety of others.

8.5. The User is solely responsible for the content, messages, files, instructions, automations, prompts, campaigns and communications created, uploaded, sent, received, managed or processed through their Prometheo account, including content originating from third-party platforms connected by the User.

9. Third-Party Messaging Platforms

9.1. Some of the content displayed in Prometheo may originate from third-party messaging platforms or social networks, such as WhatsApp, Instagram, Facebook Messenger, email providers or other external services connected by the User.

9.2. Blocking, reporting, moderation and enforcement actions related to users or senders on such third-party platforms may also be governed by the tools, policies and reporting systems of the corresponding platform.

9.3. Prometheo does not replace the native security, reporting, blocking or enforcement systems provided by WhatsApp, Instagram, Facebook, email providers or other third-party platforms. Where applicable, Users must use the tools of the relevant third-party platform to block or report abusive senders.

9.4. Within Prometheo, Users can remove unwanted content from their workspace by deleting contacts, clearing conversations or using other available workspace management tools. These actions delete or hide the corresponding content within the User's workspace in Prometheo, but may not delete or affect the original content stored on the corresponding third-party platform.

10. Reporting Objectionable Content

10.1. Users can report objectionable content, abusive conduct or misuse of the Services to Prometheo through the reporting tools available on the platform or by contacting Prometheo through its official support channels.

10.2. When Prometheo receives a report of objectionable content or abusive conduct, it may review the report and take the measures it deems appropriate, including removing or hiding content from the platform, restricting access, suspending users, canceling accounts or asking the User to take action through the corresponding third-party platform.

10.3. Prometheo may also use automated, manual or third-party mechanisms to detect, prevent, filter or restrict content or activity that may violate these Terms, applicable law or third-party platform policies.

11. Account Deletion

11.1. Users can initiate the deletion of their Prometheo account from the app or platform, through the account or profile section.

11.2. Since Prometheo is a B2B platform that may include workspaces, team members, connected business accounts, billing records, customer conversations, CRM data, automations and third-party integrations, account deletion may require identity verification and a manual review process to ensure the correct account and associated business data are deleted securely.

11.3. Once an account deletion request is submitted, Prometheo will process the request and delete the User's account and associated personal data, except for information that Prometheo is legally required or authorized to retain, including billing, tax, security, fraud prevention, dispute resolution or regulatory compliance records.

11.4. Prometheo will inform the User if additional time is required to complete the deletion request and will provide confirmation once the deletion has been completed.

11.5. Deleting a Prometheo account may not automatically delete content, messages, contacts, records or data stored on third-party platforms connected by the User, such as WhatsApp, Instagram, Facebook, email providers, CRMs or other external services. Users may need to manage or delete such information directly from the corresponding third-party platform.
